1. Acceptance of Terms

By accessing and using Centaur ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by these terms, please do not use this Service.

These Terms constitute a legally binding agreement between you and Centaur regarding your use of the Service. By creating an account or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Description of Service

Centaur is a personal leadership intelligence platform designed to help executives, founders, and high-performers track and optimize their performance across multiple life domains. The Service provides:

• CentaurScore™ - A proprietary performance index measuring competitive advantage
• Decision Intelligence tracking and pattern analysis
• Health and wellness monitoring integration
• Relationship and network intelligence mapping
• OKR (Objectives and Key Results) management
• AI-powered coaching and personalized insights
• Market signals and competitive intelligence
• Daily briefings and reflection tools

3. Eligibility

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.

Access to the Service is currently limited during our early access phase. Accounts are non-transferable and subject to verification.

4. User Account

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

You may not share your account credentials with others or allow others to access your account. We reserve the right to suspend or terminate accounts that violate these terms.

5. Privacy and Data Protection

Your privacy is critically important to us. Our data practices are governed by our Privacy Policy, which is incorporated by reference into these Terms. Key commitments:

6. Subscription and Payments

Certain features require a paid subscription. By subscribing, you agree to:

• Pay all applicable fees at the rates in effect when charges are incurred
• Automatic renewal at the end of each billing period unless cancelled
• Provide valid payment information and authorize recurring charges

Free Trial: We may offer a free trial period. At the end of the trial, you will be automatically charged unless you cancel before the trial ends.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods, except as required by law.

Price Changes: We reserve the right to change subscription prices. Existing subscribers will be notified at least 30 days before any price increase.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any laws
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scrapers) to access the Service
• Impersonate any person or entity
• Upload malicious code, viruses, or harmful content
• Violate the privacy or intellectual property rights of others
• Use the Service to harass, abuse, or harm others

8. Intellectual Property

Our Property: The Service and its original content, features, functionality, and underlying technology are owned by Centaur and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. This includes:

• The CentaurScore™ methodology and algorithms
• All software, code, and technical infrastructure
• User interface designs and visual elements
• Documentation, guides, and educational content
• Trademarks, logos, and brand assets

Your Content: You retain ownership of all data, text, and content you input into the Service. By using the Service, you grant us a limited license to process this content solely to provide the Service to you.

9. Third-Party Integrations

The Service may integrate with third-party applications and services (e.g., calendar apps, health devices). Your use of such integrations is subject to the terms and privacy policies of those third parties. We are not responsible for the practices or content of third-party services.

10. AI and Automated Insights — Disclaimer

The Service uses artificial intelligence and machine learning to generate insights, recommendations, scores, and analytics across health, wellness, business, financial, and personal domains. You expressly acknowledge and agree that:

• No Professional Advice: AI-generated insights are for informational and educational purposes only. They do not constitute and should not be construed as medical, health, financial, legal, tax, investment, or any other form of professional advice.
• Potential Inaccuracies: AI outputs may contain errors, inaccuracies, omissions, or outdated information. The Service does not guarantee the accuracy, completeness, reliability, or timeliness of any AI-generated content.
• Not a Substitute for Professional Counsel: You should always consult qualified professionals (physicians, financial advisors, attorneys, etc.) before making decisions based on AI-generated content. Never disregard professional advice or delay seeking it because of information provided by the Service.
• User Responsibility: You are solely responsible for any decisions, actions, or inactions taken based on AI-generated content. Centaur disclaims all liability for outcomes resulting from reliance on AI outputs.
• No Guarantee of Results: AI-powered coaching, recommendations, and scoring do not guarantee any specific health, business, financial, or personal outcomes.

11. Health, Wellness, and Blood Test Data — Medical Disclaimer

IMPORTANT: THE SERVICE IS NOT A MEDICAL DEVICE, MEDICAL PROVIDER, OR SUBSTITUTE FOR PROFESSIONAL MEDICAL CARE. READ THIS SECTION CAREFULLY.

The Service allows you to track health metrics (sleep, steps, heart rate, HRV, body composition, etc.), upload blood test results for AI-powered analysis, receive wellness insights from AI advisors (including "Elena Brooks," a fictional AI persona), and integrate with wearable devices such as WHOOP. By using these features, you acknowledge and agree to the following:

• Not Medical Advice: All health-related content, including blood test analysis, biomarker interpretations, optimal range assessments, wellness recommendations, recovery insights, and AI-generated health commentary, is provided for informational and educational purposes only. It is NOT medical advice, diagnosis, or treatment.
• Blood Test Analysis Limitations: AI analysis of blood test results (including biomarker extraction, reference range comparisons, "optimal performance range" assessments, and health recommendations) is automated and may contain errors. Biomarker values may be misread, misinterpreted, or incorrectly categorized. Always verify results with your healthcare provider and the original lab report.
• No Doctor-Patient Relationship: Use of the Service, including interactions with AI wellness advisors, does not create a doctor-patient, therapist-client, or any other professional healthcare relationship.
• Consult Your Doctor: Always seek the advice of your physician or other qualified health provider with any questions regarding a medical condition, blood test results, symptoms, or treatment. Never disregard professional medical advice or delay seeking it because of information provided by the Service.
• Emergency Situations: The Service is NOT designed for emergency situations. If you are experiencing a medical emergency, call 911 or your local emergency services immediately.
• "Optimal Range" Disclaimer: The Service may present "performance-optimal" ranges for biomarkers that differ from standard laboratory reference ranges. These are based on wellness literature and are not clinically validated standards. They should not be used to self-diagnose or self-treat any condition.
• Wearable Device Data: Data from integrated devices (WHOOP, etc.) is provided by third-party manufacturers and may be inaccurate. Centaur does not verify the accuracy of wearable device data and is not responsible for errors in such data.
• Individual Variation: Health metrics, biomarker levels, and their interpretations vary significantly between individuals based on age, sex, genetics, medical history, medications, and other factors. AI-generated insights do not account for your complete medical history.

BY USING HEALTH AND WELLNESS FEATURES, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THIS MEDICAL DISCLAIMER AND AGREE THAT GOCENTAUR.AI SHALL NOT BE LIABLE FOR ANY HARM, INJURY, OR DAMAGE ARISING FROM YOUR RELIANCE ON HEALTH-RELATED CONTENT PROVIDED BY THE SERVICE.

12. CentaurScore™ and Performance Metrics — Disclaimer

The CentaurScore™ and all related performance metrics, domain scores, and indices are proprietary calculations based on user-provided data and AI analysis. You acknowledge that:

• Scores are approximations and may not accurately reflect your actual performance, health, or capabilities
• Scores should not be used as the sole basis for any important personal, health, business, or financial decisions
• The methodology may change over time, causing score fluctuations unrelated to actual changes in your performance
• Scores are relative measures and should not be compared across users for competitive or evaluative purposes

13. Financial and Business Intelligence — Disclaimer

The Service may provide market signals, competitive intelligence, asset tracking, and business analytics features. You acknowledge and agree that:

• Financial data and market insights are for informational purposes only and do not constitute investment advice
• Asset valuations and net worth calculations are estimates based on user-provided data and may not reflect actual market values
• Competitive intelligence is derived from publicly available sources and AI analysis, and may be incomplete or inaccurate
• You should consult qualified financial advisors before making investment or business decisions
• Centaur is not a registered investment advisor, broker-dealer, or financial planner

14. Third-Party Content and Articles

The Service may curate, summarize, or link to third-party articles, books, and content. You acknowledge that:

• AI-generated summaries of third-party content may not accurately represent the original source material
• Centaur does not endorse, verify, or guarantee the accuracy of third-party content
• Links to external sites are provided for convenience and do not imply endorsement
• You are responsible for verifying information from original sources before relying on it

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of any content, including AI-generated health analysis, blood test interpretations, biomarker assessments, wellness recommendations, financial data, or business intelligence
• Warranties that defects will be corrected
• Warranties that health or performance data from integrated devices is accurate

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOCENTAUR.AI SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, use, goodwill, or other intangible losses
• Damages arising from your use or inability to use the Service
• Unauthorized access to or alteration of your data
• Conduct or content of any third party on the Service
• Any harm, injury, adverse health outcome, or medical complication arising from reliance on AI-generated health insights, blood test analysis, biomarker interpretations, wellness recommendations, or any other health-related content provided by the Service
• Decisions made or actions taken based on inaccurate, incomplete, or misinterpreted AI-generated content of any kind

In no event shall our total liability exceed the amount you paid to us in the twelve (12) months preceding the claim.

17. Assumption of Risk

By using the Service, you voluntarily assume all risks associated with reliance on AI-generated content, health tracking, blood test analysis, performance scoring, and wellness recommendations. You understand that:

• AI systems can and do produce incorrect, misleading, or harmful outputs
• Health data may be misread, misinterpreted, or presented out of context
• You are using these features at your own risk and discretion
• You will not hold Centaur responsible for adverse outcomes resulting from use of the Service

18. Indemnification

You agree to indemnify, defend, and hold harmless Centaur, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or data submitted to the Service
• Any claim related to health outcomes, medical decisions, or financial decisions made using the Service

19. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. You may export your data before termination. Provisions that by their nature should survive termination shall survive (including ownership, warranty disclaimers, and limitations of liability).

20. Dispute Resolution

Informal Resolution: Before filing any formal dispute, you agree to contact us at legal@gocentaur.ai to attempt to resolve the dispute informally. We will try to resolve disputes within 60 days.

Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules. You agree to waive any right to a jury trial or class action.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

22. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes by:

• Updating the "Last updated" date
• Sending email notification for significant changes

Your continued use of the Service after changes constitutes acceptance of the new terms. If you disagree with changes, you must stop using the Service.
